1 Who we are

"Nidari Nutrition," "we," "us," and "our" refer to Innovative Solutions IT, a [Texas limited liability company] doing business as Nidari Nutrition, located at [address], Houston, TX. "You" refers to the person using our website or services. "Service" means our website, content, tools (including the meal-planner and Diet Atlas), communications, and any coaching or guidance we provide.

2 Acceptance & eligibility

By accessing the Service, creating an account, booking a call, or purchasing a program, you agree to these Terms and the policies they incorporate. If you do not agree, do not use the Service.

You must be at least 18 years old and able to enter a binding contract. The Service is intended for adults and is not directed to children. If you use the Service on behalf of someone else or an organization, you represent that you are authorized to bind them.

3 The services

Nidari Nutrition provides general nutrition education and wellness coaching, which may include: educational articles, diet pages and the Diet Atlas; an informational meal-planning tool; culturally familiar and halal-friendly meal guidance and "diets"; an introductory call; and ongoing coaching, messaging, or check-ins with a nutrition professional. We may add, change, or discontinue features at any time.

Guidance is general and educational, even when tailored to information you provide. The Service is not medical care or medical nutrition therapy. See Section 6 and the Medical & Wellness Disclaimer.

5 Accounts & your information

You agree to provide accurate, current information and to keep it updated, and to keep any login credentials confidential. You are responsible for activity under your account. Because nutrition guidance depends on what you tell us, you are responsible for the accuracy and completeness of the health, dietary, and personal information you share — and for telling us about any condition, allergy, or medication that affects your safety. Tell us promptly of any unauthorized use of your account.

6 Not medical advice

The Service is for general information and wellness only and is not a substitute for professional medical advice, diagnosis, or treatment. Our nutrition professionals are not licensed dietitians or healthcare providers in the United States, and no provider–patient relationship is created. Always consult your physician before making dietary changes, and never disregard or delay medical advice because of our Service. The full Medical & Wellness Disclaimer is incorporated into these Terms.

7 Acceptable use

You agree not to: use the Service for any unlawful purpose; rely on it as medical care or resell or redistribute our content; copy, scrape, reverse-engineer, or create derivative works from our materials except as expressly allowed; misrepresent your identity or health information in a way that creates risk; upload malicious code; interfere with the Service's operation or security; or infringe anyone's rights. We may investigate and take appropriate action, including suspending access, for any violation.

8 Communications & WhatsApp

By providing your contact details, you consent to receive service-related communications from us by email, SMS/text, and WhatsApp, including appointment reminders, guidance, and check-ins. Message and data rates may apply. You can opt out of non-essential messages by replying STOP or contacting us; some messages are necessary to provide the Service.

9 Payments & subscriptions

Some features, programs, diets, and coaching are paid. Prices and what's included are shown at purchase. Payments are processed by a third-party payment processor; we don't store full card numbers. If you buy a subscription, it renews automatically for successive periods until you cancel, and you authorize recurring charges until cancellation. You can cancel future renewals as described in our Refund & Cancellation Policy, which governs all billing, cancellations, and refunds. You are responsible for any applicable taxes.

10 Intellectual property

The Service and its content — including the Nidari Nutrition name and marks, the Diet Atlas, diet pages, written content, designs, and software — are owned by Innovative Solutions IT or its licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service and access content for your own personal, non-commercial use. You may not reproduce, distribute, publicly display, sell, or create derivative works from our content without our written permission. The "Nidari" name is used in connection with the Makeup by Nidari brand under arrangement; all rights are reserved by the respective owners.

11 Your content

You retain ownership of the information, photos, and materials you submit ("Your Content"). You grant us a license to use Your Content as needed to operate the Service and provide your guidance, and as described in our Privacy Policy. You represent that you have the right to share Your Content and that it is accurate. We are not obligated to store Your Content and may remove content that violates these Terms.

12 Disclaimer of warranties

THE SERVICE AND ALL CONTENT AND GUIDANCE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, that any content is accurate or complete, or that the Service will produce any particular health or other result. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

13 Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, INNOVATIVE SOLUTIONS IT (D/B/A NIDARI NUTRITION) AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND NUTRITION PROFESSIONALS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR HEALTH OUTCOMES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID US IN THE [SIX (6)] MONTHS BEFORE THE CLAIM, OR (b) [ONE HUNDRED U.S. DOLLARS ($100)]. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. This section does not limit liability that cannot be limited by law.

14 Indemnification

You agree to indemnify and hold harmless Innovative Solutions IT (d/b/a Nidari Nutrition) and its owners and personnel from any claims, damages, losses, and reasonable legal fees arising out of your misuse of the Service, your violation of these Terms, your violation of any law or third-party right, or your reliance on guidance contrary to your clinician's advice.

15 Suspension & termination

You may stop using the Service at any time. We may suspend or terminate your access at any time if you violate these Terms, if needed to protect the Service or others, or for any lawful reason. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

16 Governing law & dispute resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Before filing any claim, you agree to first contact us and attempt to resolve the dispute informally for at least [30] days.

Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in [Harris County], Texas, and you consent to their jurisdiction. 17 International users

We operate from the United States. If you access the Service from outside the U.S., you do so on your own initiative and are responsible for compliance with local laws. As explained in our Privacy Policy, your information — including health information — is processed in the United States and accessed by our team in [Pakistan].

18 Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, take reasonable steps to notify you. Your continued use after changes take effect means you accept the updated Terms.

19 General terms

These Terms and the incorporated policies are the entire agreement between you and us regarding the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
